Terms of Service

Agreement

These terms are between you and Nasir Uddin Shamim (“we”, “us”), the developer of Zella. By downloading, installing or using Zella, you agree to them. If you do not agree, do not use the app.

Zella is distributed through Apple’s App Store, so Apple’s Licensed Application End User Licence Agreement also applies. Where these terms and Apple’s EULA conflict, Apple’s EULA governs. The App Store terms section below sets out the specific points Apple requires us to state.

The licence

Zella is licensed, not sold. We grant you a personal, non-exclusive, non-transferable licence to install and use Zella on any Mac and iPhone you own or control, as permitted by Apple’s Usage Rules.

Zella Pro and Zella Founder are one-time in-app purchases, not subscriptions. Both are Universal Purchases: one payment unlocks Mac and iPhone together, tied to your Apple ID. They include free updates within the same major version.

What is free and what is paid

Zella Free is not a trial and does not expire. It includes the complete editor, all of the on-device AI, unlimited recording length, and watermark-free export at up to 1080p and up to 2 minutes per export.

Pro lifts the export length limit and adds 4K (plus 8K on Mac), transparent-background export, 60 fps and custom bitrate, the multi-aspect export queue, saved custom templates, and the depth toolset.

Founder includes everything in Pro plus supporter benefits: exclusive colour grades, priority support, early access, and future major versions.

Pro Week. A new installation runs the complete Pro feature set free for its first seven days. It requires no card, no account and no cancellation, and it ends by itself. When it ends the app becomes the permanent free tier described above. Nothing you made during Pro Week stops working, though a project that exceeds the free ceilings will need to be trimmed, exported at 1080p, or unlocked with Pro.

We may change what each tier includes for future releases. We will not remove a feature you have already paid for from the version you bought.

Your content

You own everything you record, edit and export with Zella. We claim no rights in it whatsoever.

Because the app processes your media entirely on your device, we never receive your content and could not use, inspect or disclose it even if we wanted to. You are responsible for having the rights to what you record - including anyone appearing in it, any music or footage you import, and any screen content you capture - and for complying with the recording and consent laws where you are.

Acceptable use

You may not:

• Resell, rent, sublicense or redistribute the app, or make it available to others as a service.
• Copy, modify or create derivative works of the app, or reverse-engineer, decompile or disassemble it, except to the extent that applicable law expressly permits despite this restriction.
• Circumvent, disable or interfere with licensing, entitlement checks or any security feature, including forging a paid entitlement.
• Use Zella to create or distribute anything unlawful, or to record anyone without a consent or legal basis you are required to have.
• Use Zella in violation of any applicable export-control or sanctions law.

Third-party services

Some optional features connect to companies that are not us:

• The AI Assistant uses an AI provider you choose and a key you supply. Your use of it is governed by that provider’s terms and privacy policy.
• Stock b-roll can optionally use Pexels or Pixabay with your own key, under their licence terms for the media you download.
• The captions model is downloaded once from Hugging Face.

We do not control these services, we are not responsible for them, and they may change or become unavailable. Nothing in Zella’s licence grants you rights to media or models obtained from them; check their licences for what you may do with what you download.

Third-party software in Zella

Zella includes open-source components under their own licences, listed on the licences page. Those licences govern those components and, where they grant you broader rights than these terms, those rights are unaffected.

Updates

We may release updates that add, change, remove or fix features, and Apple’s App Store may install them according to your settings. Updates within your major version are free.

Termination

This licence lasts until terminated. It ends automatically if you materially breach these terms; you may end it at any time by deleting the app. Apple may also refund a purchase under its own policies, in which case the corresponding entitlement is revoked. Sections that by their nature should survive - your content, disclaimers, limitation of liability and governing law - survive termination.

Disclaimer of warranties

To the maximum extent permitted by law, Zella is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the app will be uninterrupted or error-free, that AI features - transcription, translation, background removal, automatic editing - will be accurate or suitable for a given purpose, or that any particular result will be achieved. AI output requires your review before you publish it.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you. Nothing in these terms limits or excludes any right you have under consumer protection law that cannot lawfully be limited or excluded, including, in the EEA and UK, statutory rights regarding non-conforming digital content.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or lost recordings, however caused.

Our total aggregate liability arising out of or relating to Zella is limited to the amount you actually paid for it in the twelve months before the claim - which, for a free user, is zero.

Keep your own backups. Zella writes to your device’s storage; device failure, running out of space, or deleting a project can lose work in ways we cannot recover for you.

App Store terms

Apple requires these points to be stated, and they apply to your use of the App Store versions of Zella:

• This agreement is between you and us only, not with Apple. Apple is not responsible for Zella or its content.
• Apple has no obligation to provide maintenance or support for Zella.
• If Zella fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Zella.
• We, not Apple, are responsible for addressing any claim by you or a third party relating to Zella, including product liability, failure to conform to legal or regulatory requirements, and consumer protection or privacy claims.
• We, not Apple, are responsible for investigating and resolving any third-party claim that Zella infringes that party’s intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these terms and, upon your acceptance, will have the right to enforce them against you.
• Questions, complaints and support requests should go to us at support@zellahq.com, not to Apple.

Refunds

Purchases are billed by Apple. See our refund policy for how to request one.

Governing law

These terms are governed by the laws of Bangladesh, without regard to conflict-of-laws rules. If you are a consumer, this does not deprive you of the protection of mandatory consumer-law provisions of the country where you live, and you may bring proceedings there.

Changes

We may update these terms. When we do, we will revise the date above, and material changes will be noted in the app’s release notes. Continuing to use Zella after a change means you accept the updated terms.
